From the subsidiary Twin Oaks Construction's, physical plant location in Olney, Texas, the Company operates an oil field tubular hydro-testing and pipe threading facility. With its SEC Form SB-2 Registration Statement originally filed on June 28, 2004 (and updated on July 26, 2005), Founders was originally chartered in 2002 as a wholly owned subsidiary of Skylynx Communications, Inc. (OTCBB-SKYC) (formerly Basic Technologies., Inc.) under the terms of a spin-off agreement. Agreed to by the Board of Directors of Basic Technologies in December, 2001, in January of 2002, Basic Tech announced a record date of February 8, 2002, for the spin-off of Founders Industries. That transaction was announced in the form of a dividend to the (then - 2/8/02) shareholders of record of Basic Tech, and the spin-off was consummated per the agreement.
